These Terms and Conditions (“Terms”) govern the use of the V&S Engineering Co. Ltd website and the provision of manufacturing, machining, and related services. By accessing our website, submitting a request for quote (RFQ), placing an order, or engaging our services, you agree to be bound by these Terms.

1. About V&S Engineering

V&S Engineering Co. Ltd (“V&S Engineering,” “we,” “our,” or “us”) is a precision CNC machining and contract manufacturing company based in Huntington Beach, California, serving aerospace, industrial, and commercial clients.

2. Scope of Services

V&S Engineering provides services including, but not limited to:

• CNC Machining, Milling, and Turning
• 3-Axis, 4-Axis, and 5-Axis Machining
• Production Machining
• Turnkey and Contract Manufacturing
• Assembly, Welding, and Finishing Services
• Lapping, Broaching, Honing, and Metal Coating
• Custom Manufacturing Solutions

All services are provided strictly in accordance with agreed-upon specifications, drawings, and contractual terms.

3. Requests for Quote (RFQs)

• RFQs are provided based on information supplied by the customer, including drawings, specifications, quantities, materials, and tolerances.
• Quotes are valid only for the period specified and may be subject to change due to material costs, scope changes, or unavailable information.
• Errors or omissions in customer-provided documentation are not the responsibility of V&S Engineering.

4. Orders and Acceptance

• Orders are considered accepted only upon written confirmation by V&S Engineering.
• Any changes to scope, specifications, materials, or delivery schedules must be approved in writing and may result in revised pricing and lead times.
• Verbal agreements are not binding unless confirmed in writing.

5. Customer-Supplied Information and Materials

Customers are responsible for ensuring:

• Accuracy and completeness of drawings, CAD files, and specifications
• Compliance with applicable laws, regulations, and export controls
• Ownership or authorization to use submitted designs and intellectual property

V&S Engineering is not liable for defects resulting from inaccurate or incomplete customer-provided information.

6. Quality Standards and Inspection

• Parts are manufactured in accordance with agreed specifications and applicable quality standards.
• Inspection and acceptance criteria must be defined at the time of order.
• Unless otherwise agreed, standard commercial inspection practices apply.
• Claims related to non-conforming products must be submitted in writing within a reasonable time after receipt.

7. Confidentiality and Proprietary Information

• All customer drawings, specifications, and technical data are treated as confidential.
• Proprietary information is used solely for manufacturing and quality assurance purposes.
• Confidentiality obligations apply unless disclosure is required by law or authorized in writing.

8. Intellectual Property

• All customer-provided designs and materials remain the property of the customer.
• V&S Engineering retains ownership of its manufacturing methods, processes, tooling concepts, and know-how.
• No intellectual property rights are transferred unless explicitly agreed in writing.

9. Pricing and Payment Terms

• Pricing is stated in U.S. dollars unless otherwise specified.
• Payment terms are defined in the quote or invoice.
• Late payments may be subject to interest or collection costs as permitted by law.
• V&S Engineering reserves the right to suspend work for non-payment.

10. Lead Times and Delivery

• Lead times are estimates and may be affected by material availability, customer changes, or external factors.
• Delivery dates are not guaranteed unless expressly agreed in writing.
• V&S Engineering is not liable for delays caused by force majeure or events beyond reasonable control.

11. Limitation of Liability

To the maximum extent permitted by law:

• V&S Engineering’s liability is limited to the value of the goods or services provided.
• We are not liable for indirect, incidental, consequential, or special damages, including loss of profits or production delays.
• Liability does not extend to misuse, improper installation, or modification by the customer or third parties.

12. Warranty Disclaimer

Unless otherwise agreed in writing:

• Services and products are provided “as is” and “as manufactured to specification.”
• No additional warranties, express or implied, are provided, including merchantability or fitness for a particular purpose.

13. Export Control and Compliance

Customers acknowledge that:

• Products, data, or technical information may be subject to U.S. export control laws.
• Customers are responsible for compliance with applicable export and import regulations.
• V&S Engineering does not knowingly support unlawful or unauthorized export activity.

14. Termination

V&S Engineering reserves the right to terminate or suspend services if:

• Payment obligations are not met
• Terms are violated
• Continued work would violate legal or regulatory requirements

Termination does not relieve the customer of payment obligations for work completed.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in courts located in California.

16. Changes to These Terms

V&S Engineering may update these Terms from time to time. Updates will be posted on this page with a revised effective date. Continued use of our services constitutes acceptance of the updated Terms.
